PERFORMANCE HEALTH TECHNOLOGIES, INC. ANNOUNCES IT IS A REPORTING COMPANY UNDER THE SECURITIES EXCHANGE ACT
Trenton, New Jersey (August 13, 2007)Trenton, New Jersey, August 13, 2007 – Performance Health Technologies, Inc. announced today that on July 13, 2007 the Company’s registration statement on Form 10-SB, which was filed with the Securities and Exchange Commission (SEC) on May 14, 2007, became effective. As a result of the effectiveness of the registration statement, the Company has become a public reporting company under the Securities Exchange Act of 1934.
Performance Health Technologies, Inc. is now subject to reporting and disclosure obligations under the Exchange Act, including the obligation to file with the SEC periodic reports, such as Annual Reports on Form 10-K (a detailed annual report of the Company’s operations), Quarterly Reports on Form 10-Q (a quarterly report of operations) and Current Reports on Form 8-K (a report of significant reportable events), and the Company is required to comply with all other obligations of the Exchange Act applicable to issuers filing registration statements pursuant to Section 12(g). The Company’s filings are available on the SEC's website.
The Company’s common stock is presently not traded on any market or securities exchange. The Company intends to file, through a market maker, an information statement pursuant to Section 15c-211 with the National Association of Securities Dealers, Inc. in order to obtain approval for quotation of its common stock on the Over-the-Counter Bulletin Board.
